Our Corporate team is seeking a highly skilled and experienced M&A Lawyer to play a key role in our mergers, acquisitions and corporate transactions practice. As a member of the team, you will assist our Finnish and international clients in a changing business environment, supporting them in their growth and business development efforts both in Finland and abroad. Our ideal candidate will have a strong background in M&A law, excellent negotiation skills, and the ability to manage complex legal matters with precision and efficiency.

KEY RESPONSIBILITIES

Your key responsibilities will include project managing and conducting comprehensive legal and ESG due diligence on target companies in M&A transactions, drafting and negotiating transaction documents, including e.g. letters of intent, sale and purchase agreements, shareholder agreements and ancillary agreements, and providing strategic legal advice to the clients on M&A transactions, including regulatory compliance, risk assessment, and deal structuring.

You should have a solid basic understanding and experience of M&A and company law. To perform well, you should also have several years of relevant work experience in the field of M&A, with a focus on corporate, private equity and/or venture capital transactions. We would highly appreciate that you would be familiar with drafting and supporting in the negotiation of acquisition and shareholder agreements and other transaction documents. It’s a plus if you have experience in managing team in M&A transactions.

We also hope you to have excellent negotiation, communication, and interpersonal skills. Fluent English and Finnish language skills are essential in our international working environment.
