Our Corporate team is seeking a M&A Lawyer to work with mergers, acquisitions, VC financing and general corporate law related assignments. As a member of the team, you will assist our Finnish and international clients in a changing business environment, supporting them in their growth and business development efforts both in Finland and abroad. Our ideal candidate will have a background in M&A law and the ability to manage complex legal matters with precision and efficiency.

WHAT WE’RE LOOKING FOR

The ideal candidate will be:

• Equipped with 2 to 5 years of relevant experience in corporate law, preferably in a law firm Meaning: solid basic understanding and experience of M&A and company law and also experience in conducting legal due diligence, drafting transaction documentation such as e.g. confidentiality agreements, letter of intents, share purchase agreements, investment agreements and shareholder agreements
• Equipped with an attitude to work collaboratively within a team and ambition for personal growth and supporting the firm’s goals
• A proactive professional with the ability to work independently
• Ready to play a key role in supporting our corporate clients in the M&A and corporate law related matters, and
• Fully proficient in both Finnish and English and excellent communication and interpersonal skills.

YOUR KEY RESPONSIBILITIES

Your key responsibilities will include conducting comprehensive legal and ESG due diligence on target companies in M&A transactions, drafting transaction documents, including e.g. letters of intent, sale and purchase agreements, shareholder agreements and ancillary agreements, and providing strategic legal advice to the clients on M&A transactions, including regulatory compliance, risk assessment, and deal structuring.
